Terms & Conditions

B2B supply terms for enterprise, government, and integrator clients.

1. Scope & Acceptance

These Terms and Conditions govern all B2B sales transactions between Extel Supplies (“Seller”) and the purchasing entity (“Buyer”). By submitting a purchase order, the Buyer acknowledges and accepts these terms in full.

2. Quotations & Orders

All quotations issued by Extel Supplies are valid for the time stated and subject to product availability. Orders are considered binding only upon written confirmation by the Seller.

3. Pricing & Taxes

Prices are quoted exclusive of taxes, duties, shipping, and handling fees unless otherwise specified. Buyer is responsible for any applicable import duties or taxes imposed by local authorities.

3A. Payment Terms

All payments must be made according to the terms specified on the invoice or quotation. Unless otherwise agreed in writing, payments are due within thirty (30) days of invoice date. Late payments may incur a 1.5% monthly service charge or the maximum rate permitted by law.

4. Delivery, Title & Risk

Delivery terms shall follow those stated in the quotation or purchase order. Risk of loss passes to the Buyer once goods leave the Seller’s facility or partner warehouse. Title transfers upon full payment.

5. Inspection & Acceptance

The Buyer must inspect all received products within seven (7) days of delivery. Any defects or discrepancies must be reported to the Seller in writing within that period.

6. Returns & RMA

Returns require prior written authorization and an issued RMA number. Unauthorized returns may be rejected. All returned products must be in original condition with intact serial numbers and packaging.

7. Warranty

Extel Supplies provides a pass-through of the original manufacturer’s warranty where applicable. No additional warranty is expressed or implied unless specified in writing by the Seller.

8. Limitation of Liability

Neither party shall be liable for indirect, consequential, or incidental damages. The Seller’s total liability shall not exceed the invoiced value of the specific goods in dispute.

9. Compliance & Export Control

The Buyer agrees to comply with all relevant export, import, and trade compliance laws applicable to the purchased products and their intended use.

10. Confidentiality

Both parties agree to maintain confidentiality of all proprietary or business information shared in the course of transactions. Disclosure is permitted only where legally required.

11. Force Majeure

The Seller shall not be held liable for delays or non-performance caused by events beyond reasonable control, including natural disasters, supply chain interruptions, or government actions. This clause shall also apply to global logistics constraints, component shortages, or trade disruptions impacting supply availability.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA. Any disputes shall be resolved through good-faith negotiation, failing which the courts of Texas shall have jurisdiction.

13. Entire Agreement & Updates

These Terms represent the complete agreement between the Seller and Buyer, superseding prior communications. Extel Supplies reserves the right to modify these Terms periodically without notice.
